Within decades, the printing press created as many books as Europe had made by hand in the previous nine centuries. This allowed ideas that once circulated through a limited number of manuscripts to reach a wider audience. Clay tablets, papyrus, fountain pens, typewriters, and word processors changed the pace and conditions of writing. They gave more people the power to develop and revise their work before sharing it. #### Writing is thinking The tools arriving today mark another increase in what a writer can accomplish. Software can now help create an outline, reshape a passage, search through source material, and track details across a long project. Feldar believes that writing is fundamentally about thinking, as ideas develop during the search for language. A sentence tests if a thought is clear. A paragraph can reveal gaps in an argument, while revising it enhances the writer’s understanding of what they want to say. #### The whole project The finished draft reflects decisions made over a larger process, but the material that supports those decisions is often scattered across a workspace split between different applications and folders, with browser tabs adding to the sprawl. Research lives in papers and PDFs, quotes vanish into notes, feedback lingers in old conversations, and returning to a project often means the writer must rediscover its state. After months of work, the repeated effort to find material and rebuild connections takes up a significant amount of attention. Feldar focuses on the entire project, bringing together drafts, research, notes, feedback, and conversations in one place. This keeps all materials connected as the work develops. Whenever a writer returns, however much time has passed, the environment should help them see where they left off and what matters while carrying forward established details. This shortens the path back into the work and creates more time to shape meaning through structure and language. #### What should stay human This broader environment gives Feldar a clear boundary. The writer remains responsible for the argument and its details, down to the words, while the product handles more of the organization, continuity, retrieval, and repetitive tasks surrounding those decisions. Writing remains challenging, as this challenge helps shape judgment. Part of the craft is choosing one direction from many options. It also means recognizing a weak section and finding the right words for an idea. Recent advancements in computing have focused on tasks with clear measures of success. A calculation has an answer and a program can be tested against a specific criterion. Writing, however, is evaluated based on intention, context, rhythm, originality, and taste. This allows for very different sentences to succeed for different reasons. Grammar can be measured, but the feeling that a piece reflects a particular person is much more challenging to quantify. Feldar is interested in what progress means in this context and how writers can gain more ability while exercising their judgment. #### Taste, voice, and the centroid This focus starts with the human mind behind every piece of writing, shaped by individual experience and culture within the limits of finite attention. Everyone has read only a small part of all that has been written and lived through unique experiences. They may also have dedicated years to details that others overlook. Taste develops from this limited time and attention, while voice emerges from the choices a writer makes across different works—the topics they return to and the rhythms they favor. The tools available for writing today draw from a wide range of public output, providing remarkable scope while creating a center of gravity or a centroid formed from the most common language and structures. Much of what we consider sloppiness may stem from the collective weariness of a single shared mind. Used by millions, familiar phrases and rhythms become ubiquitous, along with the instincts behind them. As more writing interacts with that centroid, different writers gradually move toward a shared sense of taste, including what counts as clarity and polish, tightening the range of public expression through countless individually reasonable choices. #### The writer’s own context Feldar’s response begins with the writer’s own project. It uses their notes, sources, previous work, and established decisions as the context for any assistance they receive. Suggestions should respect the existing direction and preserve unique language that conveys meaning, appearing only when they are most useful. The writer maintains control over what ultimately makes it to the page. These principles are a starting point, and the writers who use Feldar will help refine them. Pangram has become the de facto standard tool for identifying AI writing in general. GPTZero and Grammarly are also often used inside universities and classrooms. People have started collecting “Claudeisms” and other expressions that sound like ChatGPT. Feldar thinks the resulting digital witch hunt, combined with new EU transparency rules and machine-readable watermarks from large AI labs, is a recipe for disaster. In the early stages of widespread AI adoption, the model acted as the executive branch of human writing. The user prompted the model to write a desired text, the model produced it, and the result was sent to its destination. Feldar believes that this kind of writing will soon cease to exist, especially for larger projects. Human writing was never a straight line between the mind and the output. As soon as the tooling changed, it became an interplay between all the instruments available at the time. Humans also write in unique styles, so the process is different for everybody. We believe that the typical process now involves going back and forth between model and person many times. One person might use AI more extensively, rewriting whole passages, while another changes a single sentence in an entire essay. No matter what the process looks like, current detectors and watermarks demonise this behaviour in public, even though it is fundamentally no different from the process humans have followed for hundreds, if not thousands, of years. AI-written articles are considered by some to be on par with human-written ones, while studies have shown that AI is already used extensively across assessed work. There is no going back to the old world. We understand why detectors are used in academia and other industries to ensure standards. But a detector, no matter how technologically capable, only meets the writing after the evidence of how it was made is gone. This is not a flaw in the detectors themselves, but the result of our decision to value the result in this way. Provenance in Feldar starts from the other end. We want our writing environment to preserve an accurate report of how a document was made and exactly which tools produced the final result, so there is no need to reconstruct it later with an external tool. What worries us is that the witch hunt visible online devolves into a cat-and-mouse game. Students will try to find alternative ways around detectors so they can use the power of AI without being caught by their professors. Projects that aim to penetrate Pangram’s detection are being made available, but more often than not, the resulting prose becomes too disassociated to pass as human work. The Samsaran wheel of AI prose turns again when the next detector update arrives. Attached to this is social shame: an AI-written paragraph, no matter how comprehensive, is not considered on its merits but used to discredit the content of the text itself. The model took the patterns of human writing and reproduced them at scale, and the consequences are suffered by individuals unable to get past Turnitin. In our last blog post, [What Feldar Believes About Writing](https://feldar.com/blog/what-feldar-believes-about-writing), we described linguistic centres of gravity. Models fundamentally compress human output and form structures. When a writer wants to refine a text, prompting a model means choosing a direction from its basin of possible languages. No matter how open the request is, a simple prompt gives providers like ChatGPT and Anthropic room to apply whichever improvement costs least. Feldar’s concern is that, given enough time, this collapses into a small number of very large language areas. Product designers and others must preserve the distinctiveness of written language by pushing against these developments. This is why model providers want to implement watermarks: knowing when generation occurs and preserving that evidence downstream is a coherent goal. Detectors will never be able to establish this on their own. None of this is new; see Scott Aaronson’s work at OpenAI in 2022 or Google’s SynthID. No matter how transparent providers become, written language will move through these systems, and provenance needs to live somewhere else. Feldar is a writing application that accompanies the user through the entire writing process, which makes it well suited for provenance. Every time a user applies a tool in Feldar to refine a manuscript, we record the contribution. We also distinguish between language written directly by the author and material from somewhere else. The resulting record gives us the ability to show exactly how a piece of work was produced. Instead of being fearful of social pressure, the writer can use the system as a collaborator, much as they would work with a human editor. This goes beyond small personal projects. Universities and other institutions can use the resulting provenance report to set their own measurements for how much AI assistance is allowed. Classes and workshops that specifically focus on composition will most likely allow no or very little generated text. Other courses, where the purpose of the text is to convey information separately from stylistic interpretation, will most likely choose differently. These thresholds help examiners prepare for the coming influx of AI-written prose without remaining stuck in the past. Feldar hopes this can make discourse around AI writing healthier. On Reddit, communities have formed in parallel, covering the same topics while differing mainly in their willingness to use AI. We want to break these dynamics. Where disclosure matters, the user should be able to show something that reflects the actual process. This is also why the provenance record in Feldar is private and owned by the author. A shared attestation can then help institutions verify the output. Undoubtedly, there will always be gaps in the system. We do not claim that Feldar can reconstruct the process of a writer who generates a paragraph in a different window, then types it into a Feldar document, and flag it correctly. We want to make definite statements about what happens in our environment. Once provenance outgrows the core Feldar app, we hope the protocol can be used for other interfaces as well. The goal is to record different insertion points from model to manuscript alongside everyday writing, rather than relabel the work with a classifier after it has been completed. Provenance earns credibility through the limits of what it can claim, and this is why writing diversity matters. Once origin is clear, a writer using em dashes will no longer be desperate to find the acceptable course for their personal style. We leave language to the human, as it is meant to be. We help diversify language, opposing the underlying standardisation created by reliance on a few frontier models. Writing should remain hard where the work calls for it. Much of writing is more cost than craft, and models can be genuine partners in that process. As models improve, writers must still choose between several viable directions. The machines should create more of those directions instead of constraining the person to the default. The alternative is AI detection, where the score becomes the goal itself, detached from the underlying process. Writers change their prose to outplay classifiers rather than for themselves, with no visible cooperation between person and model. You shall not (and shall not permit any third party to): (i) license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Services or any portion of the Services; (ii) frame or utilize framing techniques to enclose any trademark or logo located on the Service or any other portion of the Services (including images, text, page layout or form); (iii) use any metatags or other "hidden text" using Company's name or trademarks; (iv) modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Services except to the extent the foregoing restrictions are expressly prohibited by applicable law; (v) use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools, or the like) to "scrape" or download data from any web pages contained in the Services without our written authorization; (vi) remove or destroy any copyright notices or other proprietary markings contained on or in the Services; (vii) impersonate any person or entity, including any employee or representative of Company; (viii) interfere with or attempt to interfere with the proper functioning of the Services or use the Services in any way not expressly permitted by this Agreement, including but not limited to violating or attempting to violate any security features of the Service, introducing viruses, worms, or similar harmful code into the Service, or interfering or attempting to interfere with use of the Services by any other user, host, or network, including by means of overloading, "flooding," "spamming," or "crashing" the Service; (ix) use the Services to generate content that violates our Content & Safety Policy, including but not limited to illegal content, harmful content, hate speech, harassment, sexually explicit content involving minors, or content that infringes third-party rights; (x) attempt to bypass, circumvent, or manipulate AI safety measures, content filters, or rate limits; (xi) use the Services to create content for fraud, deception, disinformation, or impersonation; (xii) use the Services to generate spam, unsolicited bulk content, or content for manipulation of search engines or social platforms. Abuse is prohibited. Abuse includes: (i) using false information, multiple accounts, or automated tools to circumvent restrictions; (ii) circumventing rules or exploiting system vulnerabilities; (iii) using Services for illegal, harmful, or inappropriate purposes; and (iv) violating other Agreement provisions. Upon discovering Abuse, we may: (i) deduct credits or disqualify users from promotions; (ii) suspend accounts temporarily or permanently; (iii) delete content that violates our policies; and (iv) take appropriate legal action for severe abuse of service. The rights granted to you in this Agreement are subject to your compliance with the restrictions set forth in this section. Any unauthorized use of the Services terminates the licenses granted by Company pursuant to this Agreement. ##### 2.4 Usage Restrictions The Services may impose usage restrictions on specific features or settings, such as limits on access frequency, generation requests, storage capacity, or other system resources. Related limitations or restrictions are set out in documentation, guidelines, or policies we make available to you, including our Usage Policy. ##### 2.5 Supplemental Terms Your use of, and participation in, certain features and functionality of the Services may be subject to additional terms ("Supplemental Terms"). Such Supplemental Terms will either be set forth in the applicable supplemental Services or will be presented to you for your acceptance when you sign up to use the supplemental Services. If these Terms are inconsistent with the Supplemental Terms, then the Supplemental Terms control with respect to such supplemental Services. ##### 2.6 Third Party Accounts The Services may allow you to sign in using third-party authentication services (such as Google) where you maintain an account ("Third Party Account"). By allowing Company to access your Third-Party Account, you represent that you are entitled to disclose your Third-Party Account login information to Company and/or grant Company access to your Third-Party Account without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account and without obligating Company to pay any fees or making Company subject to any usage limitations imposed by such third-party service providers. YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS, AND COMPANY DISCLAIMS ANY LIABILITY FOR PERSONALLY IDENTIFIABLE INFORMATION THAT MAY BE PROVIDED TO IT BY SUCH THIRD-PARTY SERVICE PROVIDERS IN VIOLATION OF THE PRIVACY SETTINGS THAT YOU HAVE SET IN SUCH THIRD-PARTY ACCOUNTS. ##### 2.7 Shared Content The Services may allow you to share your content with others through share links or other sharing mechanisms ("Shared Content"). When you share content: you are solely responsible for all Shared Content and any consequences of sharing; you grant recipients permission to view the Shared Content; you can revoke sharing permissions at any time; Company is not responsible for how recipients use Shared Content once accessed; Shared Content remains subject to these Terms and our [Content & Safety Policy](https://feldar.com/content-policy). #### 3. Ordering and Fees ##### 3.1 Third-Party Payment Processor The Company uses Stripe as its third-party service provider for payment services (e.g., card acceptance, merchant settlement, and related services) ("Payment Processor"). If you make a purchase on the Services, you will be required to provide your payment details and any additional information required to complete your order directly to our Payment Processor. You agree to be bound by Stripe's Privacy Policy (currently accessible at https://stripe.com/privacy) and its Terms of Service (currently accessible at https://stripe.com/legal/ssa) and hereby consent and authorize the Company and Payment Processor to share any information and payment instructions you provide with the Payment Processor to the minimum extent required to complete your transactions. Please note that online payment transactions may be subject to validation checks by our Payment Processor and your card issuer, and we are not responsible if your card issuer declines to authorize payment for any reason. For your protection, our Payment Processor uses various fraud prevention protocols and industry standard verification systems to reduce fraud and you authorize it to verify and authenticate your payment information. Your card issuer may charge you an online handling fee or processing fee. We are not responsible for this. ##### 3.2 Payment and Order Processing You shall pay all fees or charges ("Fees") to your account in accordance with the fees, charges and billing terms in effect at the time a Fee is due and payable. By providing Company and/or our Payment Processor with your payment information, you agree that Company and/or our Payment Processor is authorized to immediately invoice your account for all Fees due and payable to Company hereunder and that no additional notice or consent is required. You shall immediately notify Company of any change in your payment information to maintain its completeness and accuracy. Company reserves the right at any time to change its prices and billing methods in its sole discretion. You agree to have sufficient funds or credit available upon placement of any order to ensure that the purchase price is collectible by us. Your failure to provide accurate payment information to Company and/or our Payment Processor or our inability to collect payment constitutes your material breach of this Agreement. Except as set forth in this Agreement, all Fees for the Services are non-refundable. ##### 3.3 Taxes The Fees do not include any Sales Tax that may be due in connection with the Services provided under this Agreement. If Company determines it has a legal obligation to collect Sales Tax from you in connection with this Agreement, Company shall collect such Sales Tax in addition to the Fees. If any services, or payments for any services, under this Agreement are subject to any Sales Tax in any jurisdiction and you have not remitted the applicable Sales Tax to Company, you shall be responsible for the payment of such Sales Tax and any related penalties or interest to the relevant tax authority, and you shall indemnify Company for any liability or expense Company may incur in connection with such Sales Taxes. For purposes of this Section, "Sales Tax" means any sales or use tax and any other tax measured by sales proceeds that is the functional equivalent of a sales tax where the applicable taxing jurisdiction does not otherwise impose a sales or use tax. #### 4. Subscription, Credits, and Refund Policy ##### 4.1 Subscription Management Certain services or specific portions thereof are only available with a paid subscription. Depending on the type of subscription plan selected at the time of purchase, you will be billed periodically (monthly or annually) in advance. At the end of each billing cycle, your subscription will automatically renew at the then-current pricing unless cancelled by either you or us. By subscribing, you authorize Company to charge the payment method designated in your account now, and again at the beginning of any subsequent subscription period. You can cancel your subscription renewal by contacting us via email at support@feldar.com or through your account settings when available. You will not receive a refund for fees already paid for the current subscription period, and you will continue to have access to the service until the end of your current subscription period. ##### 4.2 Billing and Fee Changes You must provide our payment system with accurate and complete billing information, including your full name, address, state, postal code, phone number, and valid payment method details. If automatic billing fails for any reason, the Company will issue an electronic invoice indicating that you must manually make full payment corresponding to the billing period indicated on the invoice by a specified due date. We reserve the right, at our sole discretion, to modify subscription fees at any time. Any changes to subscription fees will become effective at the end of the current subscription period. We will provide you with reasonable advance notice prior to any change in subscription fees taking effect, allowing you the opportunity to terminate your subscription before such changes become effective. Continuing to use the service after the subscription fee change is effective constitutes your agreement to pay the modified subscription fee amount. ##### 4.3 Free Tier and Credits New users receive 300 free Credits to explore the Service. The Services operate on a credit-based system. Credits may be purchased, earned, or granted through promotions or subscriptions. Each AI feature consumes a predefined number of Credits based on complexity, volume, or duration, which is determined at Company's sole discretion. The Company retains full discretion to determine the value of a Credit, including the amount of processing or service access each credit enables. Credit consumption rates may vary depending on the type of feature accessed, the complexity of the request, the size or length of the input or output, or any other relevant technical factor. The Company makes no guarantees that a specific number of Credits will yield a fixed quantity or quality of output. The Company reserves the right to modify, increase, or decrease the number of credits required to access specific features, with or without prior notice. Subscription Credits reset at the beginning of each billing period and do not roll over. All Credits shall expire in accordance with the Company's policies as may be updated from time to time. All Credit purchases are final and non-refundable, except where required by law. Upon termination of your account for any reason, unused Credits may be forfeited without compensation. Credits may only be used by the account to which they were issued and may not be transferred, resold, or exchanged for cash or other value. If the Company finds that credits were obtained or used fraudulently, it reserves the right to invalidate those Credits and take appropriate legal action. ##### 4.4 Refund Policy Except where required by applicable law, all payments made for subscriptions, Credits, or other paid features are final and non-refundable. You acknowledge that once access to a paid service or Credit has been granted, the Company has fully performed its obligations and no refund will be issued. We offer a 14-day money-back guarantee for first-time subscribers. To request a refund, contact support@feldar.com within 14 days of purchase. After 14 days, no refunds are issued for subscription fees. You may cancel at any time, but no prorated refunds will be provided. The Company may, at its sole discretion, consider a partial refund request in exceptional circumstances. If approved, any refund will be calculated based on the proportion of unused service, excluding any discounts, promotions, or taxes paid. The final determination of eligibility and refund amount rests entirely with the Company. If you are a consumer residing in the European Union or United Kingdom, you have the right to withdraw from your purchase within 14 days in accordance with applicable consumer protection laws. Refunds (if approved) will be processed to your original payment method within 5-10 business days, depending on your payment institution's processing time. We reserve the right to refuse refunds if: your account has been restricted, suspended, or terminated due to policy violations, abuse, or fraud; you have already received a prior refund for similar products or services; you purchased credits, subscriptions, or other services via promotions, coupons, or discounted pricing; or the refund request is made after the applicable period or relates to used Credits or consumed services. Artificial Intelligence and Content Your Writing Stays Yours: We do NOT use Your Content (your manuscripts, novels, stories, and creative works) to train AI models. Your writing remains your own and is not incorporated into our AI systems. See our [Privacy Policy](https://feldar.com/privacy) for complete details. ##### 5.1 Your Responsibility Subject to your compliance with this Agreement, you may create, upload, and share text, documents, manuscripts, and other written materials ("Content") through the Services, including by way of your prompts, instructions, and other input to the Services (collectively, "Input"). You, and not Company, are entirely responsible for all Input that you upload, create, or otherwise make available through or to the Service. When you make available any Input on or to the Service, you represent that you own and/or have sufficient rights to use such Input in connection with the Service, including to grant the license set forth in Section 5.3. In response to any prompts, instructions, and other Input that you provide to the Services, the Services may generate new Content (collectively, the "Output"). You acknowledge that the Output is based on your Input, and that Company has no control over or responsibility for any such Input. Accordingly, all Output is provided "as is" and with "all faults", and Company makes no representations or warranties of any kind or nature with respect to any Input or Output, including any warranties of accuracy, completeness, truthfulness, timeliness or suitability. You are solely responsible for your use of Output created through the Services, and you assume all risks associated with your use of any Output, including not limited to any potential copyright infringement claims from third parties, any decisions made or actions taken in reliance on any Output, or any disclosure of your Output that personally identifies you or any third party. You represent and warrant that you are solely responsible for the accuracy, completeness, appropriateness, and legality of the Input that you make available through the Services. You further represent and warrant that you have provided all required notices and obtained all licenses, permissions, and consents required, including (without limitation) under applicable data protection laws, from all third parties to whom the Input relates or pertains, to enable us to access, use, and process your Input in connection with the Services. ##### 5.2 Content Ownership The Company does not claim ownership of any Input or Output (collectively, "Your Content"). Subject to Section 5.3, as between the Company and you, you are the owner of all right, title and interest in Your Content. Notwithstanding the foregoing, given the nature of the Service, you acknowledge that: (a) Output may not be unique across users and the Services may generate the same or similar output for another user under similar circumstances; and (b) the Company does not represent or warrant that the Output is protectable by any intellectual property rights under applicable law. ##### 5.3 License You grant us and our affiliates, successors, and assigns a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable right to: (a) during your use of the Services, copy, display, upload, perform, distribute, store, modify, and otherwise use Your Content to provide and operate the Services and monitor your compliance with these Terms; and (b) use Your Content in an aggregated and de-identified manner to improve the Services and create Usage Data. For the avoidance of doubt, our use under the foregoing license does not imply our endorsement or ownership of Your Content in any event. If we process any personal information contained in Your Content, we will process it as explained in our [Privacy Policy](https://feldar.com/privacy). ##### 5.4 AI Services Company provides certain features leveraging artificial intelligence platforms, algorithms, services, tools and models ("AI Services") to power the Service's writing assistance functions. By using these functions, you hereby consent and authorize Company to process your Input through AI Services to generate Output. You acknowledge and agree that: AI Services may not be required to maintain the confidentiality of any of Your Content in all circumstances; additional license requirements may apply to certain AI Services; you assume all risks associated with your use of such AI Services; Company will have no liability for the unavailability of any AI Services, or any third party's decision to discontinue, suspend or terminate any AI Services. YOU, AND NOT COMPANY, SHALL BE SOLELY RESPONSIBLE FOR YOUR USE OF THE FUNCTIONS THAT UTILIZE AI SERVICES. YOU ACKNOWLEDGE AND AGREE THAT ANY DECISIONS YOU MAKE OR ANY CONDUCT YOU ENGAGE IN AS A RESULT OF THE INFORMATION PROVIDED BY THE AI SERVICES IS AT YOUR OWN RISK. BECAUSE THE AI FEATURES UTILIZE ARTIFICIAL INTELLIGENCE, THEY MAY PROVIDE INFORMATION THAT IS INACCURATE OR INAPPROPRIATE. YOU AGREE THAT COMPANY WILL NOT BE HELD LIABLE TO YOU OR ANY THIRD PARTY FOR THE AI SERVICES PROVIDING INACCURATE OR INAPPROPRIATE INFORMATION OR FOR ANY DECISIONS MADE IN RELIANCE ON SUCH INFORMATION. ##### 5.5 Content Restrictions Your use of the Services must comply at all times with this Agreement and any other documentation, guidelines, or policies we make available to you, including our [Usage Policy](https://feldar.com/usage-policy) and [Content & Safety Policy](https://feldar.com/content-policy). Without limiting the foregoing, you must not share or make available Input or other Content on or through the Service, or attempt to create Output through the Service, that: (A) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, pornographic, offensive, or profane; (B) infringes or misappropriates any third party's intellectual property rights or other proprietary rights; (C) contains any viruses, worms, spyware or other malicious computer programming codes; (D) involves child sexual abuse material (CSAM) or sexual content involving minors in any form; (E) contains credible threats of violence or content promoting terrorism; (F) constitutes hate speech targeting protected characteristics; (G) involves commercial activities such as advertising or pyramid schemes without Company's prior written consent. ##### 5.6 Content Storage Unless expressly agreed to by Company in writing elsewhere, Company has no obligation to store any of Your Content indefinitely. Company has no responsibility or liability for the deletion or accuracy of any Content, including Your Content; the failure to store, transmit, or receive transmission of Content; or the security, privacy, storage, or transmission of other communications originating with or involving use of the Services. We recommend you maintain your own backups of important Content. ##### 5.7 Third-Party Websites and Services The Services may contain links to third-party websites or services. When you click on a link to a third-party service, we will not warn you that you have left the Service and you become subject to the terms and conditions (including privacy policies) of another website or destination. Such third-party services are not under the control of Company. Company is not responsible for any third-party services. Company provides these third-party services only as a convenience and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party services, or any product or service provided in connection therewith. You use all third-party services at your own risk and shall be solely responsible for any consequence arising from your use of third-party services. #### 6. Intellectual Property ##### 6.1 Ownership Please note, we do not own any of your Input or Output (as described in Section 5.2 above). We retain all rights, title, and interest in and to the Usage Data, the Services (including the technology, methods, and systems used to provide the service), and any improvements, enhancements, or modifications thereof, including all Intellectual Property Rights. "Intellectual Property Rights" refers to patents, rights to inventions, copyrights and related rights, moral rights, data rights and database rights, rights to software code, domain names, trademarks, logos, and trade names, rights to goodwill and protection against passing off, design rights, rights to confidential information, and any other intellectual property rights, whether registered or unregistered. "Feldar" and all related stylizations, graphics, logos, service marks and trade names used on or with the Services are the trademarks of Company and may not be used without permission in connection with your, or any third-party's, products or services. You hereby authorize Company and its third-party service providers to generate data, information, insights, statistics, and usage data related to our provision of the Services and your use of the service and associated software, systems, programs, and technologies ("Usage Data"). ##### 6.2 Third-Party Intellectual Property The Services may include intellectual property, including open-source software owned by third parties. Such third-party intellectual property may be licensed to you under separate or different terms and conditions ("Third-Party Terms"), which are not granted to you under these Terms of Service. Company is not responsible for such third-party intellectual property. ##### 6.3 Feedback You agree that submission of any ideas, suggestions, documents, and/or proposals to Company through its feedback channels ("Feedback") is at your own risk and that Company has no obligations (including without limitation obligations of confidentiality) with respect to such Feedback. You represent and warrant that you have all rights necessary to submit the Feedback. You hereby grant to Company a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive, and fully sublicensable right and license to use, reproduce, perform, display, distribute, adapt, modify, create derivative works of, and otherwise commercially or non-commercially exploit in any manner, any and all Feedback, in connection with the operation and maintenance of the Services and/or Company's business. #### 7. Term and Termination The term of this Agreement commences on the date when you accept this Agreement (as described in the preamble above), and continues in full force and effect while you use the Services, unless terminated earlier in accordance with this Agreement. If you have materially breached any provision of this Agreement, including our Usage Policy or Content & Safety Policy, or if Company is required to do so by law (e.g., where the provision of the Services is, or becomes, unlawful), Company has the right to, immediately and without notice, suspend or terminate any Services provided to you. Company reserves the right to terminate this Agreement or your access to the Services at any time without cause upon notice to you. You agree that all terminations for cause are made in Company's sole discretion and that Company shall not be liable to you or any third party for any termination of your account. If you wish to terminate this Agreement, you may do so by closing your account through account settings (when available) or by contacting support@feldar.com. Upon termination of the Services or the applicable feature or functionality thereof, your right to use the Services or the applicable feature or functionality thereof will automatically terminate, and we may delete Your Content stored on the Services in accordance with our data retention policy. If we terminate your account for cause, we may also bar your further use or access to the Services. Company will not have any liability whatsoever to you for any suspension or termination, including for deletion of Your Content. All provisions of this Agreement which by their nature should survive, will survive termination of Service, including without limitation, ownership provisions, warranty disclaimers, and limitations of liability. If this Agreement is terminated for cause by Company or if your account or ability to access the Services is discontinued by Company due to your violation of any portion of this Agreement, then you agree that you shall not attempt to re-register with or access the Services through use of a different member name or otherwise. #### 8. Disclaimer YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK, AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. THE COMPANY PARTIES (AS DEFINED BELOW) EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT ARISING FROM USE OF THE SERVICE, OUTPUT, OR YOUR CONTENT. THE COMPANY PARTIES MAKE NO WARRANTY, OR REPRESENTATION THAT: (I) THE SERVICES OR ANY OUTPUT WILL MEET YOUR REQUIREMENTS (SUCH AS THE QUALITY, EFFECTIVENESS, OR OTHER CHARACTERISTICS OF SERVICE); (II) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (III) THE OUTPUT, ADVICE, RESULTS, OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PURPOSE. YOU ACKNOWLEDGE AND UNDERSTAND THAT COMPANY MAKES AVAILABLE AI-GENERATED OUTPUT AND IS NOT RESPONSIBLE FOR SUCH OUTPUT. COMPANY HEREBY DISCLAIMS AND WILL HAVE NO LIABILITY RESULTING FROM OR WITH RESPECT TO: (I) THE OPERATION, MAINTENANCE, FUNCTION, FAILURE, OR SECURITY OF ANY AI SERVICE, (II) THE OUTPUT OR CONTENT GENERATED BY AN AI SERVICE, (III) ANY DECISION OR ACTION TAKEN BY YOU AS A RESULT OF ANY OF THE FOREGOING. #### 10. Indemnification You shall indemnify and hold Company, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors (each, a "Company Party" and collectively, the "Company Parties") harmless from any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of any and all of the following: (i) Your Content, or any use of the Output by you; (ii) your use of, or inability to use, the Services; (iii) your violation of this Agreement; (iv) your violation of any rights of another party, including any user; (v) your violation of any applicable laws, rules or regulations, including and not limited to data compliance laws and intellectual property laws; (vi) any third-party claims arising from your Content or Output. Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Company in asserting any available defenses. This provision does not require you to indemnify any of the Company Parties for any unconscionable commercial practice by such party or for such party's fraud, deception, false promise, misrepresentation or concealment, or suppression or omission of any material fact in connection with the Services provided hereunder. You agree that the provisions in this Section will survive any termination of your account, this Agreement and/or your access to the Services. #### 11. Limitation of Liability Notwithstanding anything to the contrary and to the fullest extent permitted by law, under no circumstances shall either party, its affiliates, or any licensors or suppliers of the Company be liable for: (a) Any consequential, indirect, special, incidental, or punitive damages; (b) Any loss of profits, business, revenue, anticipated savings, or unnecessary expenses; (c) Any loss, damage, or interruption of data, networks, information systems, reputation, or goodwill; (d) The cost of procuring any substitute goods or services. To the fullest extent permitted by law, the aggregate liability of Company and its affiliates under or in connection with this Agreement and the Services shall not exceed the total amount you actually paid to Company under this Agreement in the twelve (12) months preceding the event giving rise to the liability (or $100 if you have not paid any fees). The above exclusions and limitations shall apply: (a) to the fullest extent permitted by applicable law; (b) even if a party has been advised of, or should have been aware of, the possibility of such losses, damages, or costs; (c) even if any remedy provided in this Agreement fails of its essential purpose; (d) regardless of the theory or basis of liability, whether in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution, or otherwise. THE FOREGOING CAP ON LIABILITY DOES NOT APPLY TO LIABILITY OF A COMPANY PARTY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY A COMPANY PARTY'S NEGLIGENCE; OR (B) ANY INJURY CAUSED BY A COMPANY PARTY'S FRAUD OR FRAUDULENT MISREPRESENTATION. #### 12. Governing Law and Dispute Resolution ##### 12.1 Governing Law Except as provided in these Terms or required by applicable laws, these Terms and your use of the Services shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Your use of the Services may also be subject to other local, state, national, or international laws. ##### 12.2 Dispute Resolution 12.2.1 Informal Dispute Resolution If you have any disputes, claims, or controversies arising out of or relating in any way to these Terms or the Services, including claims and disputes that arose before the effective date of these Terms (a "Dispute"), you agree to first attempt to resolve the Dispute informally. You and the Company agree to participate in good faith informal efforts to resolve Disputes before starting an arbitration or initiating an action in small claims court ("Informal Dispute Resolution"). To initiate Informal Dispute Resolution, a party must give notice to the other party in writing ("Notice"). Such Notice to the Company should be sent by email to support@feldar.com. The Company will send any Notice to you via email associated with your account. To be valid, your Notice must include a description of the claims you are asserting, the specific relief sought, and the email address associated with your account. The Informal Dispute Resolution process lasts 45 days and is a mandatory precondition to commencing arbitration. The statute of limitations and any filing deadlines shall be tolled while the parties engage in Informal Dispute Resolution. 12.2.2 Dispute Resolution for Non-U.S., Non-UK and Non-EU Users For any Dispute that is not resolved informally within the 45-day period, and where these Terms do not specify a mandatory dispute resolution process or local law does not require otherwise, you and the Company agree that any Dispute will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in accordance with the laws of Delaware, with the seat of arbitration in Delaware, and the language of the proceedings in English. The arbitrator shall award only such damages as are permitted under these Terms. Each party shall bear its own legal costs and expenses. Notwithstanding anything to the contrary in the Terms, either party may always apply to a court of competent jurisdiction for an injunction or any other legal or equitable relief. 12.2.3 Dispute Resolution For UK and EU Users If you are a consumer in the UK or European Union, you will benefit from any mandatory provisions of the law of your country of residence and nothing in these Terms shall affect your rights as a consumer to rely on such mandatory provisions of the laws of your country of residence. In the event of any Dispute, you and Company agree that such individual claim or dispute shall be resolved in the competent court in the country in which you are ordinarily resident, provided such country is in the European Union or United Kingdom. 12.2.4 Dispute Resolution For U.S. Users PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, WAIVES YOUR RIGHT TO A JURY TRIAL, AND REQUIRES YOU TO PROCEED TO ARBITRATION ON AN INDIVIDUAL BASIS. You and the Company agree that any Dispute will be resolved by final and binding arbitration. This arbitration agreement is governed by the Federal Arbitration Act, and will be interpreted and enforced accordingly. A. INFORMAL DISPUTE RESOLUTION Before either party may seek arbitration, the parties agree to attempt to resolve any Dispute informally pursuant to Section 12.2.1. The statute of limitations and any filing fee deadlines shall be tolled for forty-five (45) days from the date that either you or the Company first sends the applicable notice. B. BINDING ARBITRATION Any Dispute not resolved through the informal dispute resolution process within 60 days shall be resolved by a neutral arbitrator through final and binding arbitration administered by the American Arbitration Association ("AAA") pursuant to its Consumer Arbitration Rules. The arbitrator will have the authority to grant any remedy or relief that would otherwise be available in a court of law. C. EXCEPTIONS This section does not require informal dispute resolution or arbitration of the following claims: (i) individual claims brought in small claims court; and (ii) injunctive or other equitable relief to stop unauthorized use or abuse of the Services or intellectual property infringement or misappropriation. D. WAIVER OF JURY TRIAL YOU AND THE COMPANY KNOWINGLY AND IRREVOCABLY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and the Company are instead electing that all Disputes shall be resolved by arbitration under these Terms, except as specified herein. E. WAIVER OF CLASS AND REPRESENTATIVE ACTIONS YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE PROHIBITED. ONLY INDIVIDUAL RELIEF IS AVAILABLE. F. OPT-OUT MECHANISM You have the right to opt out of the binding arbitration agreement set forth in this section within thirty (30) days of the date you first accepted these Terms. DMCA/Copyright Complaints We may terminate membership privileges of any user who repeatedly infringes copyright, trademark, or other intellectual property rights upon prompt notification to Company by the respective intellectual property owner or their legal agent. We may delete or disable content that we believe violates these Terms or is alleged to be infringing. If you believe that your intellectual property rights have been infringed, please send notice to us as follows: By Email: support@feldar.com Subject: "Copyright Complaint" Written claims concerning copyright infringement should include the following information: - A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright, trademark, or other intellectual property right - A description of the copyrighted work, trademark, or other intellectual property right work that you claim has been infringed upon - A description of where the allegedly infringing material is located on our site or the Services - Your address, telephone number, and email address - A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright, trademark, or other intellectual property right owner, its agent, or the law - A statement by you that the above information in your notice is accurate and, under penalty of perjury, that you are the copyright, trademark, or other intellectual property right owner or authorized to act on the owner's behalf #### 14. Miscellaneous ##### 14.1 U.S. Federal Government End-Use Provisions If you are a U.S. federal government end user, the Services constitute a "commercial item" as defined in 48 C.F.R. §2.101. ##### 14.2 U.S. Legal Compliance You represent and warrant that: (i) You are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist-supporting" country; (ii) You are not listed on any U.S. government list of prohibited or restricted parties. ##### 14.3 Severability If any provision of these terms is found to be unenforceable or invalid, that provision will be modified and interpreted to achieve the objectives of the provision to the greatest extent permitted under applicable law, and the remaining provisions will remain in full force and effect. ##### 14.4 Waiver Except as provided herein, the failure to exercise a right or to require performance of an obligation under these terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach. ##### 14.5 Electronic Notice The communications between you and Company may take place via electronic means, whether you visit the Services or send Company emails, or whether Company posts notices on the Services or communicates with you via email. This Agreement governs Customer's use of Feldar's AI-powered writing platform and related services purchased under an Order Form, including any Team Plans and Enterprise Plans (collectively, the "Services"). "Authorized Users" means Customer's employees, contractors, and agents who are authorized to use the Services under Customer's account. "Customer Data" means any data, content, documents, or information that Customer or Authorized Users upload, create, generate, or otherwise provide through the Services. "Documentation" means Feldar's user guides, documentation, and help materials made available through the Services or website. "Order Form" means a purchase order, quote, statement of work, or other ordering document executed by both parties that references this Agreement and specifies Services to be provided, pricing, term, and other commercial terms. "Services" means Feldar's AI-powered writing platform and related services as specified in an Order Form, including Team Plans, Enterprise Plans, and any updates or enhancements. "Subscription Term" means the period specified in an Order Form during which Customer may access the Services. "Usage Limits" means the limits on use of the Services specified in an Order Form, such as number of seats, AI Credits, or storage capacity. #### Services ##### Service provision Subject to the terms of this Agreement, Feldar will provide Customer with access to the Services specified in each Order Form during the applicable Subscription Term. ##### Service features Services may include: - Team workspaces for collaboration and content management - AI writing assistance with configurable models and parameters - Administrative controls for user management, permissions, and billing - Advanced features such as priority support or dedicated capacity (if specified in Order Form) - Analytics and reporting on usage, performance, and content - Security features including SSO, audit logs, and access controls (availability varies by plan) ##### Service modifications We may: - Modify or update the Services to improve functionality, security, or performance - Add new features or services (which may be subject to additional fees) - Deprecate features with reasonable advance notice - Make changes required by law or for security reasons Material reductions to core functionality will be communicated with reasonable advance notice. #### Orders and payment ##### Order forms Services are ordered through Order Forms that specify: - Services and plan type (Team, Enterprise, etc.) - Number of seats or usage limits - Subscription Term (monthly, annual, or other) - Fees and payment terms - Start date and renewal terms ##### Fees Customer shall pay all fees specified in the Order Form. Unless otherwise stated: - Fees are non-refundable except as specified in our Refund Policy - Fees are exclusive of taxes - Fees are based on Services ordered, not actual usage ##### Payment terms - Upfront annual: Payment due at the start of each annual term - Monthly subscriptions: Payment due at the start of each monthly period - Usage-based fees: Billed monthly in arrears (if applicable) - Custom terms: As specified in Order Form Payments are processed by Stripe or other payment processors. Failed payments may result in service suspension. ##### Late payments Late payments are subject to: - Suspension of Services after 7 days - Interest at the lesser of 1.5% per month or the maximum allowed by law - Recovery of collection costs including reasonable attorney fees ##### Taxes Fees exclude all sales, use, VAT, GST, and other taxes and duties. Customer is responsible for all taxes except those based on Feldar's net income. If we are required to collect taxes, they will be invoiced in addition to Fees. Customer will provide any required tax documentation or exemption certificates. #### Use of services ##### License grant Subject to this Agreement, Feldar grants Customer a non-exclusive, non-transferable, worldwide license during the Subscription Term to: - Access and use the Services for Customer's internal business purposes - Permit Authorized Users to access and use the Services - Use the Services up to the Usage Limits specified in the Order Form ##### Usage restrictions Customer shall not: - Exceed Usage Limits specified in Order Form - Share access credentials or allow unauthorized access - Use Services to provide service bureau, outsourcing, or similar services to third parties - Reverse engineer, decompile, or disassemble the Services - Copy, modify, or create derivative works of the Services - Remove or obscure proprietary notices - Use Services in violation of applicable law or our policies - Interfere with or disrupt the Services - Benchmark or evaluate Services for competitive purposes without written consent - Use Services to develop competing products ##### Compliance with policies Customer and Authorized Users must comply with: - [Usage Policy](https://feldar.com/usage-policy) - Acceptable use and prohibited practices - [Content & Safety Policy](https://feldar.com/content-policy) - Content guidelines - [Privacy Policy](https://feldar.com/privacy) - Data handling requirements - Documentation and acceptable use guidelines Violations may result in suspension or termination of Services. #### Customer data ##### Ownership As between Feldar and Customer, Customer retains all ownership rights in Customer Data. Feldar does not claim ownership of Customer Data. ##### License to process Customer grants Feldar a limited license to: - Store, process, transmit, and display Customer Data to provide the Services - Process Customer Data through AI systems to provide AI features - Create backups for data protection and disaster recovery - Generate aggregated, de-identified analytics for service improvement This license terminates when Customer Data is deleted in accordance with our data retention policies. ##### AI training We do not use Customer Data to train general-purpose AI models. Customer Data is not incorporated into AI systems available to other customers. Third-party AI providers may be subject to their own terms. We configure services to disable training where possible. ##### Data retention Upon termination: - Customer may export Customer Data during any notice period - We will delete Customer Data within 30 days after termination - Backups may retain data for up to 90 days before automatic deletion - We may retain data longer if required by law or for legal defense #### Intellectual property ##### Feldar IP Feldar retains all rights, title, and interest in: - The Services and all technology, software, and systems - Documentation and marketing materials - Trademarks, logos, and brand elements - AI models, algorithms, and methodologies - Improvements and enhancements to the Services - Usage Data and aggregated analytics Nothing in this Agreement transfers any Feldar IP to Customer. ##### Customer IP Customer retains all rights in: - Customer Data and content created using the Services - Customer's trademarks, branding, and proprietary information - Pre-existing intellectual property Customer brings to the Services ##### AI outputs AI-generated outputs created in response to Customer inputs are owned by Customer, subject to: - Outputs may not be unique (similar inputs by others may produce similar outputs) - No intellectual property warranties regarding AI outputs - Third-party AI provider terms may apply - Outputs must be reviewed and used in accordance with this Agreement #### Warranties and disclaimers ##### Feldar warranties Feldar warrants that: - Services will perform materially in accordance with Documentation - We will use industry-standard measures to prevent introduction of malware - We have rights necessary to provide the Services and grant licenses herein ##### Disclaimer EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FELDAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: - IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT - WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS OF SERVICES OR AI OUTPUTS - WARRANTIES REGARDING UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION - WARRANTIES REGARDING RESULTS OBTAINED FROM USE OF SERVICES AI OUTPUTS MAY CONTAIN ERRORS, INACCURACIES, OR BIASES. CUSTOMER IS SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING AI OUTPUTS BEFORE USE. #### Limitation of liability ##### Disclaimer of consequential damages TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR: - INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES - LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR EXPECTED SAVINGS - LOSS OF OR CORRUPTION TO DATA - COST OF SUBSTITUTE SERVICES - LOSS OF GOODWILL OR REPUTATION THESE LIMITATIONS APPLY REGARDLESS OF THEORY OF LIABILITY AND EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ##### Liability cap TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO FELDAR UNDER THE APPLICABLE ORDER FORM IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM. ##### Exceptions The above limitations do not apply to: - Either party's indemnification obligations - Customer's payment obligations - Either party's gross negligence or willful misconduct - Violations of intellectual property rights - Breaches of confidentiality - Liability that cannot be excluded or limited by applicable law #### Term and termination ##### Agreement term This Agreement begins when first Order Form is executed and continues until all Order Forms have expired or been terminated. ##### Subscription term Each Order Form has a Subscription Term as specified therein. Unless otherwise stated: - Subscriptions automatically renew for equivalent periods - Either party may opt out of renewal by providing written notice at least 30 days before term end - Renewal pricing may change with 60 days advance notice ##### Termination for cause Either party may terminate this Agreement or an Order Form if the other party: - Materially breaches and fails to cure within 30 days of written notice - Ceases operations or becomes insolvent - Files for or becomes subject to bankruptcy or receivership Feldar may suspend or terminate immediately for: - Non-payment after 7 days notice - Violations of Usage Policy or Content Policy that pose security or legal risk - Actions that harm or threaten other customers or the Services - Repeated violations after warnings ##### Effect of termination Upon termination: - All licenses and access rights terminate immediately - Customer shall pay all outstanding fees - Customer may export Customer Data during any notice period - We will delete Customer Data as specified in Customer Data section - Confidentiality, indemnification, limitation of liability, and other provisions designed to survive will continue #### Data protection ##### GDPR and privacy laws Processing of personal data is governed by our [Privacy Policy](https://feldar.com/privacy) and [Data Processing Addendum](https://feldar.com/data-processing-addendum) ("DPA"). ##### DPA incorporation To the extent Customer provides personal data of EU/UK data subjects through the Services, the [DPA](https://feldar.com/data-processing-addendum) is incorporated into this Agreement and takes effect automatically. ##### Roles and obligations - Customer is the Controller (determines purposes and means of processing) - Feldar is the Processor (processes personal data on Customer's behalf) - Each party shall comply with applicable data protection laws #### Service levels ##### Availability commitment For Enterprise Plans, Feldar commits to: - 99.5% monthly uptime for the Services (excluding scheduled maintenance) - Scheduled maintenance windows: With 48 hours advance notice, typically during off-peak hours - Emergency maintenance: May be performed without notice for critical security or stability issues ##### Service credits If we fail to meet the 99.5% uptime commitment: - 99.0% - 99.5%: 10% credit on monthly fees - 95.0% - 99.0%: 25% credit on monthly fees - Below 95.0%: 50% credit on monthly fees To request a service credit: - Submit request within 30 days of the end of the month - Include details of downtime experienced - Credits are applied to future invoices (not cash refunds) - Credits are Customer's sole remedy for availability issues #### Support ##### Support channels Feldar provides support via: - Email: support@feldar.com - In-product help and documentation - Knowledge base and FAQ - Additional channels per Order Form (if applicable) ##### Support levels Standard support (included with Team Plans): - Email support during business hours (9 AM - 5 PM PT, Monday - Friday) - Initial response within 2 business days for non-critical issues - Best-efforts resolution timeline Priority support (Enterprise Plans): Faster response times based on priority level: - Critical (service down): 2 hours - High (major functionality impaired): 4 hours - Medium (limited functionality issue): 1 business day - Low (general question): 2 business days - 24/7 support for critical issues (if specified in Order Form) - Dedicated support contact (if specified in Order Form) - Priority escalation path #### General provisions ##### Entire agreement This Agreement, together with all Order Forms and incorporated policies, constitutes the entire agreement and supersedes all prior agreements, understandings, and communications regarding the subject matter. ##### Assignment Customer may not assign this Agreement without Feldar's prior written consent. Feldar may assign this Agreement: - To an affiliate - In connection with a merger, acquisition, or sale of substantially all assets - With notice to Customer ##### Governing law and jurisdiction This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
